  294.                               Over the last 10 years
  295.                            economist have discovered and
  296.                            rediscovered such topics as capital
  297.                            asset prices, portfolio selection,
  298.                            capital budgeting, efficient
  299.                            markets, beta factors, and so on.  
  300.                            
  301.                            
  302.                            The objective,
  303.                            often times, is
  304.                            to characterize
  305.                            stock price
  306.                            movements and
  307.                            ultimately
  308.                            determine, with
  309.                            some degree of
  310.                            accuracy, investment decisions.  The
  311.                            truth, however, is that all
  312.                            activities of the stock market are
  313.                            primarily reflected in recorded
  314.                            price movements.  Price, (and to
  315.                            some degree volume) is the mechanism
  316.                            through which economist, investors,
  317.                            analysts and academics study market
  318.                            interactions.  
  319.                            
  320.                            Movements in investor preferences,
  321.                            psychological factors, technological
  322.                            innovations, and the valuation of
  323.                            companies eventually manifest
  324.                            themselves to some extent through
  325.                            price.  Stock prices and stock price
  326.                            movements are the cornerstone of all
  327.                            market instruments and have created
  328.                            the infamous stock option.
  329.                            
  330.                               A stock option is a security
  331.                            giving one the right to buy or sell
  332.                            a lot (100 shares) of stock.  In
  333.                            general, the higher the price of the
  334.                            common stock, the greater the value
  335.                            of the option.  The value of the
  336.                            option normally declines as the
  337.                            option approaches its maturity date
  338.                            - this occurs more often if the
  339.                            stock price does not change over the
  340.                            life of the option.  
  341.                            
  342.                            Since SMARTBROKER's greatest
  343.                            advantage is its ability to
  344.                            recognize profitable option plays,
  345.                            it may prove helpful to further
  346.                            explore the world of options.
  347.                            
  348.                            MORE ABOUT OPTIONS...
  349.                            
  350.                               The owner of an option may wish
  351.                            to exercise his or her right to buy
  352.                            or sell the property if it is
  353.                            economically advantageous.  For
  354.                            example, an option to buy a house
  355.                            that you currently are renting,
  356.                            conveys the right to purchase that
  357.                            house at a specified price -
  358.                            possibly  a price far lower than its
  359.                            worth later, when it's time to
  360.                            either exercise the option or let it
  361.                            expire.  If you were to exercise
  362.                            your right to  buy, the seller is
  363.                            obligated to sell at the
  364.                            predetermined price, even if the
  365.                            seller looses in the process. 
  366.                            
  367.                               There are two types of options,
  368.                            a call and a put option.  A call
  369.                            option is used if the associated
  370.                            stock price is expected to rise. 
  371.                            Conversely, a put option is used if
  372.                            the stock price is expected to fall. 
  373.                            Both types can be equally profitable
  374.                            providing that the market responds
  375.                            as expected.  
  376.                            
  377.                            The market price of the option is
  378.                            frequently called  the premium.  The
  379.                            price that you want the stock to
  380.                            reach is called the strike price or
  381.                            exercise price and the date of
  382.                            maturity is called the maturity or
  383.                            expiration date.  American option
  384.                            contracts can be exercised anytime
  385.                            before the maturity date.
  386.                             
  387.                            MORE ON OPTION NOMENCLATURE... 
  388.                             
  389.                               INTRINSIC VALUE - If an option
  390.                            gives the right to buy a particular
  391.                            stock at less than its current
  392.                            market value - or to sell the stock
  393.                            at more than its current market
  394.                            value - the option is said to have
  395.                            intrinsic value. For example, if the
  396.                            market price of IBM is $46 a share,
  397.                            an IBM 40 call would have intrinsic
  398.                            value of $6 a share.  If the stock
  399.                            market price was to drop to $44 then
  400.                            the intrinsic value would drop to
  401.                            $4. If the stock price went to $39
  402.                            than the option would have no
  403.                            intrinsic value as it is less than
  404.                            the strike of $40.  However, an IBM
  405.                            40 put option would have intrinsic
  406.                            value of $1.00.
  407.                             
  408.                               TIME VALUE - If the option has
  409.                            no intrinsic value, its premium will
  410.                            be entirely a reflection of what is
  411.                            known as time value.  Time value is
  412.                            whatever sum of money investors are
  413.                            willing to pay in hope that within
  414.                            the time remaining, the option will
  415.                            increase in value. 
  416.                             
  417.                               IN-THE-MONEY - Simply another
  418.                            way of saying that the option has
  419.                            some intrinsic value. 
  420.                             
  421.                               AT-THE-MONEY - A term that says
  422.                            the market price of the stock is the
  423.                            same as the strike price of the
  424.                            option.
  425.                             
  426.                               OUT-OF-THE-MONEY - If the
  427.                            strike price is higher than the
  428.                            market value of the option as in the
  429.                            $39 example above, or in the case of
  430.                            a put, the strike price is lower
  431.                            than the value of the option. 
  432.                             
  433.                            OTHER OPTION STRATEGIES... 
  434.                             
  435.                               The diverse ways in which
  436.                            knowledgeable investors employ
  437.                            options has created "multiple
  438.                            option" strategies.  Two of these
  439.                            strategies most frequently employed
  440.                            are know as "spreads" and
  441.                            "straddles." 
  442.                             
  443.                               SPREADS - Involve being both
  444.                            the buyer and the writer (seller) of
  445.                            the same type of option (puts or
  446.                            calls) on the same underlying stock,
  447.                            with the options having different
  448.                            exercise prices and/or expiration
  449.                            dates.  For example, one could buy
  450.                            an DEC June 35 call and sell a DEC
  451.                            March 35 call or even a March 30
  452.                            call.  This strategy can be viewed
  453.                            as rolling your option equity over
  454.                            with time or with the change in
  455.                            perceived value. 
  456.                             
  457.                               STRADDLES-Straddles differ from
  458.                            spreads in that a straddle involves
  459.                            purchasing - or selling both a put
  460.                            and a call on the same stock, with
  461.                            the same exercise price having the
  462.                            same expiration date.  In this way
  463.                            the option value can move in either
  464.                            direction to be profitable,
  465.                            providing that the movement is great
  466.                            enough to cover the cost of the
  467.                            straddle. 
  468.                                    The cost of the straddle may
  469.                            be roughly twice either the call or
  470.                            the put, and the commissions would
  471.                            be applied to both.  So straddles
  472.                            are relatively safe, but expensive.
  473.  
  474.                            
  475.                            THINGS TO CONSIDER... 
  476.                             
  477.                               USING MARGINS - Using margins
  478.                            is synonymous with using credit.
  479.                            Margin customers must keep
  480.                            securities or cash as collateral on
  481.                            deposit with their brokers. 
  482.                            However, options, unlike stocks,
  483.                            cannot be bought on credit.  By
  484.                            using the margin loan, one will have
  485.                            more to invest and possibly yield a
  486.                            greater return. The temporary use of
  487.                            the loan is often attractive when
  488.                            the investor is looking to close (or
  489.                            sell his position) in a relatively
  490.                            short period of time. 
  491.                             
  492.                               TAX CONSIDERATIONS - Tax
  493.                            ramifications can be quite expensive
  494.                            in option and/or stock trading.  It
  495.                            cannot be emphasized too strongly
  496.                            that the investor considering
  497.                            options should consult with his tax
  498.                            adviser before engaging in an option
  499.                            transaction. 
  500.                             
  501.                               COMMISSIONS - The impact of
  502.                            commissions on your profits is
  503.                            usually greater for options than for
  504.                            underlying securities. Commissions
  505.                            are especially significant in option
  506.                            strategies calling for multiple
  507.                            purchases and sales of options, such
  508.                            as spreads and straddles.  Always
  509.                            discuss commissions with your broker
  510.                            before engaging in options
  511.                            transactions.  Be sure, when
  512.                            receiving an estimated percent
  513.                            return or in discussing your
  514.                            break-even point that your
  515.                            commission costs are included
  516.                            discussion. 
  517.                             
  518.                             
  519.                            WHAT MAKES A RECOMMENDATION
  520.                            ATTRACTIVE... 
  521.                             
  522.                            In three words..., ROI, Time (before
  523.                            expiration), and Investment Amount -
  524.                            all of which are presented in the
  525.                            Recommendations Report.  Look for
  526.                            the highest Potential first, then
  527.                            look to see how much time the
  528.                            recommended option has remaining,
  529.                            finally determine how much you can
  530.                            invest.  Take note of the confidence
  531.                            level provided for each forecast;
  532.                            you might also view the quote file
  533.                            to observe where the particular
  534.                            stock is relative to its recent high
  535.                            and low.  After selecting one or a
  536.                            few interesting stock/options in
  537.                            which you might want to invest, call
  538.                            your broker to explore the actual
  539.                            cost and available options on the
  540.                            stocks of interest. Tell him/her
  541.                            that you have a "SmartBroker"
  542.                            that recommended the ones you
  543.                            are about to discuss.
  544.                                                       
  545.                            
  546.                            CASE EXAMPLES USING SMARTBROKER...
  547.                            
  548.                            %    Tosha did not have much money
  549.                            to invest, but she was tired of
  550.                            seeing all the money she could have
  551.                            earned if she had acted on the last
  552.                            few SmartBroker recommendations that
  553.                            were generated over the past few
  554.                            weekends.  After another long work
  555.                            week she ran her usual weekend
  556.                            SmartBroker Report of which the
  557.                            recommendation to buy LTD 20 Call
  558.                            Option was reported, at a confidence
  559.                            of 90% and a potential of 112%. 
  560.                            Being familiar with "The LIMITED",
  561.                            Tosha decided to give this one a
  562.                            shot.  She called her broker and
  563.                            placed an order to buy one Call
  564.                            Option at 2 1/8 or $212.50 plus
  565.                            commission.  The broker was
  566.                            discouraging as he informed her 
  567.                            that no trades had occurred with
  568.                            that option.  Nevertheless the order
  569.                            was placed.  
  570.                            
  571.                            Two days later, Tosha called her
  572.                            broker to learn the status of her
  573.                            investment.  The broker informed her
  574.                            that LTD 20 Call Option had risen to
  575.                            3 1/2 and that she had just made a
  576.                            65% return less commission. 
  577.                            
  578.                                 Unfortunately, because of
  579.                            Tosha's low level of investment, 
  580.                            the commission took all but $47
  581.                            dollars.  However, Tosha was not
  582.                            discouraged.  She thought; what
  583.                            would I have earned if I had put
  584.                            $5000 or $10,000 on that Option, and
  585.                            in only two days? 
  586.                                 The answer was $1,014 and
  587.                            $4,102, respectively. 
  588.                             
  589.                            %    Mr. Baker was interested in
  590.                            investing, but could not believe
  591.                            that an investment software package
  592.                            could be of any real use. Certainly
  593.                            not more than what he could do by
  594.                            thoroughly investigating the
  595.                            companies in which he bought stock. 
  596.                            His niece knowing that her uncle
  597.                            liked to invest in stocks, bought
  598.                            him the  SmartBroker Investment
  599.                            software package for his 44th
  600.                            birthday. Since Mr. Baker already
  601.                            had a Dow Jones News Retrieval
  602.                            account,  he had nothing to loose so
  603.                            he loaded the software 50 different
  604.                            stock symbols and started to run the
  605.                            software on weekends to build his
  606.                            5-week data file.  On the fifth
  607.                            weekend, he printed out his first
  608.                            valid report.  In it were
  609.                            recommendations to buy 7 different
  610.                            call options, 2 put options, 1
  611.                            straddle, and the stock of 6
  612.                            different companies.  He elected not
  613.                            to act on any of  the stock
  614.                            purchases, nor any of the put or
  615.                            straddle options, but after
  616.                            contacting his broker he decided to
  617.                            purchase 5 of the call options (2 of
  618.                            them were not available).  
  619.                            
  620.                            Three weeks later Mr. Baker learned
  621.                            that 4 of his 5 options had crossed
  622.                            their  break-even and were deep
  623.                            "In-the-money".  He yelled with
  624.                            excitement, and wondered 'how many
  625.                            other people were aware of this
  626.                            SmartBroker software.  He also
  627.                            discovered: it's not how thorough
  628.                            you analyze a company... it's how
  629.                            consistently you select the right

  648.                            SmartBroker
  649.                            software you'll
  650.                            need to take a
  651.                            few simple
  652.                            steps. 
  653.                             
  654.                            1. Have all of the necessary
  655.                            hardware components set-up properly.
  656.                            
  657.                            2. Install the SmartBroker program
  658.                            on your hard disk or working
  659.                            diskette. 
  660.                             
  661.                            3. Configure SmartBroker software
  662.                            to run on your particular hardware. 
  663.                             
  664.                            4. Have a DJNS account and the
  665.                            necessary password to access the
  666.                            information database. 
  667.                             
  668.                            5.      Download quotes weekly (on
  669.                            week-ends), for 4 continuous  weeks
  670.                            until a 5-week file is built. Once
  671.                            you have established 5 weeks of data
  672.                            for the stocks you are tracking, you
  673.                            may begin  analyzing the data.  Be
  674.                            sure to run SmartBroker each and
  675.                            every weekend.  If you miss a
  676.                            weekend, continue downloading but
  677.                            wait another 4 weeks before your
  678.                            data integrity is restored.
  679.                            REASON: SmartBroker requires 5
  680.                            continuous stock quotes to operate
  681.                            properly.  Once 5 quotes of data is
  682.                            captured, on the next download, a
  683.                            new quote is added and the oldest
  684.                            quote is dropped. SmartBroker will
  685.                            always maintain the last 5 quotes of
  686.                            data.

  720.                            2.  INSTALLING SMARTBROKER: 
  721.                             
  722.                            If you want to install SmartBroker
  723.                            on a diskette, rather than a hard 
  724.                            drive, you should format a diskette. 
  725.                            Refer to the Format command 
  726.                            in your Dos Operating System (DOS)
  727.                            manual. 
  728.                            1. Turn your computer on.  You
  729.                            should have the DOS that came with
  730.                            your computer either on the hard
  731.                            disk or on a system diskette in
  732.                            Drive A.

  769.                            successfully copied, SmartBroker can

  771.                            \SMART directory. If you are in the
  772.                            root directory, type CD\SMART and
  773.                            press enter and then type BROKER and
  774.                            press enter to execute the program.

  777.                            3.  CONFIGURE YOUR SYSTEM TO RUN
  778.                            SMARTBROKER: 
  779.                             
  780.                            If you install SmartBroker on
  781.                            removable diskettes, the
  782.                            installation program automatically
  783.                            copied an appropriate CONFIG.SYS
  784.                            file onto the System diskette. 
  785.                            Whenever you reboot or restart the
  786.                            computer with this diskette, DOS
  787.                            will recognize the correct settings. 
  788.                            
  789.                            NOTE:  If you start your system
  790.                            using a system disk other than
  791.                            SmartBroker, you will need to check
  792.                            the disk you use for two things.
  793.                            First, be sure the AUTOEXEC.bat file
  794.                            on your system disk has a command
  795.                            that specifies the B drive as part
  796.                            of the path. If not, add the command
  797.                            PATH = A:\B:\ to your AUTOEXEC.bat
  798.                            file. Second, use the procedure
  799.                            outlined below to be sure your 
  800.                            CONFIG.SYS file will run
  801.                            SmartBroker. 
  802.                             
  803.                            If you install SmartBroker on a hard
  804.                            disk, the installation program
  805.                            checks to see if drive C already has
  806.                            a CONFIG.SYS file.  If the file is
  807.                            not already present, the
  808.                            installation program will copy a
  809.                            CONFIG.SYS file onto drive C.  If
  810.                            the file is already on drive C, the
  811.                            installation program tells you that
  812.                            you to check your CONFIG.SYS
  813.                            settings. 
  814.                             
  815.                            To check the CONFIG.SYS file, enter
  816.                            the following DOS command: TYPE
  817.                            C:\CONFIG.SYS and press ENTER.  You
  818.                            should see one or more lines of
  819.                            settings. 
  820.                             
  821.                            Backup Procedures - Dual Diskette
  822.                            System 
  823.                             
  824.                            If you run SmartBroker from a
  825.                            diskette, keep at least one backup
  826.                            copy. The backup copy is very
  827.                            important to protect you should a
  828.                            diskette fail or a file become
  829.                            corrupted.
  830.                             
  831.                            The System Diskette, the one you use
  832.                            in drive A, contains programs and
  833.                            your system setup information.  Make
  834.                            a copy of this diskette after you
  835.                            install SmartBroker and enter all
  836.                            the System Setup information. 
  837.                             
  838.                            You should copy a backup diskette of
  839.                            this data at the end of every day
  840.                            you use SmartBroker. 
  841.                             
  842.                            To make backup copies, use the
  843.                            following procedure. 
  844.                             
  845.                            1. Put your DOS diskette in drive
  846.                            A.  Type:  DISKCOPY A:B: 
  847.                             
  848.                            2. When prompted, put the source
  849.                            diskette in drive A, and press
  850.                            ENTER. 
  851.                             
  852.                            3. When prompted, put the
  853.                            destination diskette - the diskette
  854.                            onto which you want to backup your
  855.                            files - in drive B, and press ENTER.
  856.                            
  857.                             
  858.                            The entire contents of the disk in
  859.                            drive A will be copied to the
  860.                            diskette in drive B, erasing
  861.                            anything that was previously on the
  862.                            disk in drive B. 
  863.                             
  864.                            Backup Procedures - Hard Disk System
  865.                            
  866.                             
  867.                            If you run SmartBroker from a hard
  868.                            disk, you should keep at least on
  869.                            backup copy of SmartBroker and its
  870.                            data files.  The backup copy is very
  871.                            important to protect you should your
  872.                            computer or hard disk fail or a file
  873.                            become corrupted.  Copy all files on
  874.                            a backup diskette at the end of
  875.                            every day you use SmartBroker. 
  876.                             
  877.                            To backup data files, follow this
  878.                            procedure. 
  879.                             
  880.                            1. Put a blank formatted diskette
  881.                            in drive A. 
  882.                             
  883.                            2. Type COPY C:\SMART\SB*.SBF A:
  884.                            and press ENTER. This assumes that
  885.                            you set up SmartBroker to save data
  886.                            files on the C: drive in a
  887.                            subdirectory name SMART. If you save
  888.                            data files on a different drive or
  889.                            directory, modify the COPY command. 
  890.                             
  891.                            AUTOPILOT MODE !! 
  892.                             
  893.                            Smartbroker has an "autopilot" mode
  894.                            which allows all sequence of
  895.                            operations to occur automatically. 
  896.                            
  897.                            The autopilot mode is set by simply
  898.                            typing 'autopilot' or 'auto' after
  899.                            the name of the program. In
  900.                            autopilot mode, two files SBDATA.SBF
  901.                            and SBSTKLST.SBF will be copied for
  902.                            backup protection to SBDATABK.SBF
  903.                            and SBLISTBK.SBF respectively. When
  904.                            in autopilot mode, a message screen
  905.                            will alert you that you have 5
  906.                            minutes to disengage the countdown
  907.                            by simply hitting any key.  
  908.                            
  909.                            After terminating the countdown, the
  910.                            computer will be freed for general
  911.                            use.  When the countdown is
  912.                            completed Smartbroker checks the
  913.                            file "SBAUTOPI.sbf".  If the first
  914.                            number in this file is less than 57
  915.                            then Smartbroker increases the
  916.                            second number in the file by one. 
  917.                            When the second number matches the
  918.                            first, the program performs all
  919.                            functions automatically. This
  920.                            flexible feature is ideal for daily
  921.                            checks, and automatically performing
  922.                            weekend evaluations without human
  923.                            interaction. 
  924.                            
  925.                            
  926.                            Simply use a daily electrical power
  927.                            timer with your computer and modem,
  928.                            set for say...midnight.  In the file
  929.                            "SBAUTOPI.SBF" set the first number
  930.                            to 7 and, the second to 1 on a
  931.                            weekend. If however, the first
  932.                            number is set to 57, then
  933.                            Smartbroker will run automatically 5
  934.                            sequential times, skip 2 times, and
  935.                            repeat this process (this is good
  936.                            for daily (5 days) automatic
  937.                            execution versus once a week). You
  938.                            can change these settings using any
  939.                            ASCII text editor.

  971.                            . "BROKER auto" - updates a counter
  972.                            file and allows 5 minutes for
  973.                            decision time before running
  974.                            Smartbroker.  This is handy if you
  975.                            are using a timer, and set the
  976.                            counter file to 7 over 7 (meaning
  977.                            every 7th time this program is
  978.                            executed, run Smartbroker on
  979.                            autopilot mode.  
  980.                            
  981.                            A dedicated computer connected to an
  982.                            electrical timer that boots up
  983.                            "BROKER auto" everyday, can run
  984.                            smartbroker only on weekends without
  985.                            user interface.
  986.                            You can interrupt the countdown
  987.                            sequence and enter directly into the
  988.                            program by hitting a backslash
  989.                            ('/').  If your printer is turned on
  990.                            as well, a printout of your
  991.                            recommendation report and key
  992.                            categories report is produced.
  993.                            
  994.                            . "BROKER auto now" - simply
  995.                            by-passes the 5 minute wait, and the
  996.                            counter file, and runs Smartbroker
  997.                            in autopilot mode immediately.
  998.                            
  999.                            . "BROKER" - the normal mode, runs
  1000.                            Smartbroker as a basic program
  1001.                            requiring constant user interface
  1002.                            throughout the keyboard.

  1005.                            Another Parameter:
  1006.                            
  1007.                            Typically SmartBroker will extract
  1008.                            the "LAST" trade quote from the Dow
  1009.                            Jones stock quote file (the one that
  1010.                            is downloaded from DJNS). However,
  1011.                            if you want to extract "CLOSING"
  1012.                            prices instead, simply type the
  1013.                            parameter "\close" after the program
  1014.                            name or after other parameters.
  1015.                            
  1016.                            NOTE:
  1017.                            If there were no "Last" price (due
  1018.                            to no trades), Smartbroker will
  1019.                            adopt the whole number only (the
  1020.                            fraction, if any, is ignored) part
  1021.                            of the last closing price to
  1022.                            maintain a degree of trend
  1023.                            consistency.
  1024.                              Otherwise, the price trend will
  1025.                            drop drastically to zero - which
  1026.                            would be misleading.
  1027.                            
  1028.                            SmartBroker Prognostic: 
  1029.                             
  1030.                            When SmartBroker first begins, a
  1031.                            prognostic system check is initiated
  1032.                            which will alert you of any
  1033.                            foreseeable problems.  If you do not
  1034.                            have communications capability due
  1035.                            to an absence of a communications
  1036.                            port, a message will appear to alert
  1037.                            you to this fact. Peripherals, such
  1038.                            as your printer and your modem, will
  1039.                            be pulsed to determine if they are
  1040.                            on or working properly.  All data
  1041.                            files will be searched to assure
  1042.                            that all files exist. If any file is
  1043.                            missing, SmartBroker will alert you
  1044.                            of its absence and provide you with
  1045.                            storage information in case there is
  1046.                            not enough room on your disk.  All
  1047.                            files in the current directory will
  1048.                            be checked to determine if they are
  1049.                            "hidden" from the user interface
  1050.                            system, and your system will be
  1051.                            analyzed to determine its color
  1052.                            capabilities.

  1054.                            In summary, Smartbroker checks for:

  1402.                            5 - UPDATING YOUR STOCK LIST

  1405.                            Selecting  "U" in the Master Menu
  1406.                            will allow you to Update your list
  1407.                            of stock symbols by either adding
  1408.                            new ones or deleting symbols that
  1409.                            you no longer intend to track.  A
  1410.                            screen which lists the symbols you
  1411.                            are tracking will appear.  The
  1412.                            heading at the top of the screen
  1413.                            will also reconfirm the number of
  1414.                            stocks you are tracking as displayed
  1415.                            in the list.  The prompt at the
  1416.                            bottom of the list will allow you to
  1417.                            enter either an "A" or a "D" to Add
  1418.                            or Delete a symbol. 
  1419.                            
  1420.                             
  1421.                            You may track up
  1422.                            to 4000 stock
  1423.                            symbols, or you
  1424.                            may track only
  1425.                            one.  There are
  1426.                            no other
  1427.                            restrictions. 
  1428.                            
  1429.                            You may have
  1430.                            them arranged in alphabetical order
  1431.                            either by stock symbol or by company
  1432.                            name when you re-save the file.
  1433.                            
  1434.                            ADDING : 
  1435.                            When adding a stock symbol enter the
  1436.                            actual symbol.  It does not matter
  1437.                            whether you are typing in lower or
  1438.                            upper case, SmartBroker will always
  1439.                            convert to upper case.   You will
  1440.                            also be asked to enter the company
  1441.                            name and the stock category.  Only 5
  1442.                            characters are allowed for the stock
  1443.                            symbol, and only 17 characters for
  1444.                            the company name.  In addition, the
  1445.                            list of stock symbols will always
  1446.                            remain alphabetized for easy visual
  1447.                            searching.  A pause of  a few
  1448.                            seconds may occur to allow for the
  1449.                            alphabetization process.  If there
  1450.                            are any double entries, the first of
  1451.                            the double will be deleted.  
  1452.                            
  1453.                            When a new symbol is added, it may
  1454.                            appear to be right justified and
  1455.                            highlighted before it is saved. This
  1456.                            allows you to quickly and easily see
  1457.                            which symbols were just added in
  1458.                            case you want to make an immediate
  1459.                            correction or change. 
  1460.                            
  1461.                            Note: symbols of 5 characters or
  1462.                            more will not appear to be right
  1463.                            justified as there are only 5
  1464.                            characters available. 
  1465.                            
  1466.                            NOTE: If there is a particular stock
  1467.                            that you are tracking, and would
  1468.                            like to be reminded of its price
  1469.                            when you first enter the Stock
  1470.                            Recommendations option, you can
  1471.                            identify this stock by typing a '~'
  1472.                            in front of the company name.  Only
  1473.                            one can be tagged in this manner.
  1474.                            After the next download, this stock
  1475.                            and it's price will be displayed in
  1476.                            the Reminder Screen.
  1477.                            
  1478.                            DELETING:
  1479.                            When Deleting a symbol enter the
  1480.                            NUMBER of the symbol (not the
  1481.                            symbol). By entering the number
  1482.                            rather than the symbol, you are
  1483.                            assured of deleting the correct
  1484.                            symbol.  You may also delete a range
  1485.                            of numbers by entering the starting
  1486.                            number, and the final number, and
  1487.                            separating both by a "-".  Again,
  1488.                            the list of stock symbols will
  1489.                            always remain alphabetized for easy
  1490.                            visual searching and the total count
  1491.                            of symbols on your list will be
  1492.                            reduced with each deletion.  If you
  1493.                            make a mistake, simply do not save
  1494.                            the modified list.  Your previous
  1495.                            listing is maintained until you
  1496.                            resave the list.
  1497.                            
  1498.                            CATEGORIZING:
  1499.                            After you have entered a new stock
  1500.                            symbol, you will be asked to select
  1501.                            a category.  A menu of stock
  1502.                            categories will appear to help you
  1503.                            select.  This will help in applying
  1504.                            restrictions in later analysis.
  1505.                            
  1506.                            When you have finished updating your
  1507.                            stock symbol list, enter ESC for
  1508.                            escape. You will be asked whether
  1509.                            you wish to replace your current
  1510.                            list. If YES, your new list will be
  1511.                            saved.  IF NO, you will be returned
  1512.                            to the Master Menu.
  1513.                            
  1514.                            NOTE: From time-to-time, you may
  1515.                            notice a reduction in the list of
  1516.                            stock symbols you were tracking. 
  1517.                            Smartbroker automatically eliminates
  1518.                            stocks that are no longer supported
  1519.                            by the DJNS.  Occasionally,
  1520.                            companies are acquired and the
  1521.                            stocks are no longer traded, or the
  1522.                            company name has changed which
  1523.                            forced a change in the stock symbol. 
  1524.                            When the downloaded response returns
  1525.                            with "STOCK SYMBOL IN ERROR",
  1526.                            Smartbroker will automatically
  1527.                            search and eliminate that stock from
  1528.                            your list as it is no longer valid. 
  1529.                            This elimination process is limited
  1530.                            to 25% of the stocks you are
  1531.                            tracking for safety precautions.
  1532.                            
  1533.                            SELECTING STOCKS...
  1534.                            
  1535.                            When selecting stocks, you may want
  1536.                            to select those stocks that have
  1537.                            known options contracts associated
  1538.                            with them.  Since SmartBroker's
  1539.                            greatest strength is in its ability
  1540.                            to recommend profitable options
  1541.                            contracts, the selection of your
  1542.                            stocks will have a direct impact on
  1543.                            what SmartBroker can do for you.

  1546.                            6 - COLLECTING QUOTES 
  1547.                            ===================================
  1548.                             
  1549.                            Selecting "C" from the Master Menu
  1550.                            allows you to collect quotes from
  1551.                            DJNS. It is the communications
  1552.                            feature of SmartBroker.  Because any
  1553.                            analysis software is only as good as
  1554.                            the information it is analyzing, the
  1555.                            communications capability within
  1556.                            Smartbroker is especially powerful. 
  1557.                            
  1558.                            
  1559.                            Unlike most
  1560.                            communications
  1561.                            packages, this
  1562.                            feature within
  1563.                            SmartBroker
  1564.                            allows for total
  1565.                            automatic
  1566.                            communications
  1567.                            with the DJNS. 
  1568.                            Once the
  1569.                            parameters are set, you may never
  1570.                            need to know your password, your
  1571.                            access phone number or any other
  1572.                            parameter.  SmartBroker will use
  1573.                            this information to routinely dial
  1574.                            your access number, Log on to DJNS,
  1575.                            sign-on to the CQE (Current Quotes
  1576.                            Exchange) option with the news
  1577.                            service, request and download quotes
  1578.                            relating to the stock symbols you
  1579.                            are tracking, and when done,
  1580.                            disconnect, log-off and hang-up
  1581.                            completely automatically. However,
  1582.                            you may set the communications to
  1583.                            manual, and take advantage of a
  1584.                            general purpose communications
  1585.                            package comparable to packages sold
  1586.                            today for hundreds of dollars. 
  1587.                                                       
  1588.                            Telenet & Tymnet
  1589.                             
  1590.                            SmartBroker communications uses both
  1591.                            Telenet and Tymnet access lines. If
  1592.                            for some reason a carrier is not
  1593.                            detected after dialing, it will
  1594.                            retry a total of 5 times (the first
  1595.                            two using tone dialing and other
  1596.                            three times using pulse dialing). If
  1597.                            one access line continues to prove
  1598.                            unsuccessful for the entire 5
  1599.                            connect tries, Smartbroker will
  1600.                            automatically switch to the
  1601.                            alternate access line, providing
  1602.                            you've entered a phone number for
  1603.                            the other line.
  1604.                            
  1605.                            If still, for some reason the log-on
  1606.                            sequence is unsuccessful, and the
  1607.                            autopilot mode is active,
  1608.                            Smartbroker will hang-up and
  1609.                            re-attempt the log-on sequence a
  1610.                            maximum total of 20 times. Further,
  1611.                            if while in autopilot mode, the
  1612.                            entire download sequence is
  1613.                            interrupted, or is not completed,
  1614.                            SmartBroker will attempt the entire
  1615.                            downloading sequence again, and if
  1616.                            necessary, again (for a total of
  1617.                            three tries).  
  1618.                            
  1619.                            Before actual communication is
  1620.                            initiated, SmartBroker will check to
  1621.                            see if your modem is on or
  1622.                            operational.  If it is not, you will
  1623.                            receive a message stating that "Your
  1624.                            Modem Is Not Working".  This may
  1625.                            simply mean "turn your modem on".
  1626.                             
  1627.                            Next you must decide whether you
  1628.                            want to save the downloaded
  1629.                            information on disk.  THIS IS A MUST
  1630.                            IF SMARTBROKER IS TO USE THE DATA. 
  1631.                            Typically you would respond by
  1632.                            typing 'Y" for Yes.  After doing so,
  1633.                            your communications port will be
  1634.                            opened and your access phone number
  1635.                            will be transmitted to connect you
  1636.                            to the DJNS.  If your modem is not
  1637.                            on at this point, or a problem is
  1638.                            encountered during any aspect of
  1639.                            automatic communications,
  1640.                            SmartBroker will transfer mode of
  1641.                            operation to "Manual Mode."  In this
  1642.                            case either type the remaining
  1643.                            information manually or enter ESC to
  1644.                            close communications and terminate.
  1645.                            
  1646.                            IF AT ANY POINT DURING AUTOMATIC
  1647.                            DOWNLOADING OF STOCK QUOTES, YOU
  1648.                            DECIDE TO TERMINATE COMMUNICATIONS -
  1649.                            SIMPLY PRESS THE ESC KEY. YOU WILL
  1650.                            HAVE TO WAIT FOR THE TIMING SEQUENCE
  1651.                            TO END BEFORE THE TERMINATION
  1652.                            REQUEST IS HONORED.
  1653.                            
  1654.                            If this communication effort is (for
  1655.                            some reason) terminated abruptly,
  1656.                            and in autopilot mode, Smartbroker
  1657.                            will terminate communications, pause
  1658.                            for 10 seconds, and reinitiate the
  1659.                            entire communications tasks. If not
  1660.                            in autopilot mode and a
  1661.                            communications problem occurs,
  1662.                            communications will switch to manual
  1663.                            mode.

  1665.                            Once you have downloaded your quotes
  1666.                            (retrieved from last reported
  1667.                            'closed') or terminated
  1668.                            communications, you will have the
  1669.                            option of using this information for
  1670.                            SmartBroker evaluation. Answer "Y"
  1671.                            to the question: UPDATE DOW JONES
  1672.                            STOCK-DATA FILE (Y/N) ?" With
  1673.                            automatic communications, the quote
  1674.                            data is stored in file SBQUOTES.SBF. 
  1675.                            Hit RETURN so that the file
  1676.                            SBQUOTES.SBF may be read and quotes
  1677.                            extracted for analysis.  
  1678.                            
  1679.                            If you have stored DJNS //CQE data
  1680.                            in another file, you may type the
  1681.                            name of that file at this time.  
  1682.                            
  1683.                            SmartBroker would then attempt to
  1684.                            extract the quote information from
  1685.                            the file you suggested.  When the
  1686.                            quotes are all processed, you will
  1687.                            be given an option to replace your
  1688.                            old quote-file or to abort.  If you
  1689.                            replace your old file, it is gone
  1690.                            forever.  You should only replace
  1691.                            your old quote file once a week on
  1692.                            week-ends.   If you replace your old
  1693.                            quote file out-of-sequence; that is,

  2123.                            After exiting SmartBroker, you will

  2125.                            to update your report cards.  YOU
  2126.                            SHOULD UPDATE YOUR REPORT CARDS
  2127.                            AFTER EVERY RUN THAT GENERATES A NEW
  2128.                            RECOMMENDATIONS REPORT.  There are
  2129.                            two modes of operation for the
  2130.                            Forecast Report Card:
  2131.                            
  2132.                            1) INITIATING A NEW REPORT CARD and
  2133.                            2) UPDATING A  REPORT CARD.
  2134.                            
  2135.                            Forecast Report Card -
  2136.                            The initiation of a new report card
  2137.                            occurs automatically every 5 months
  2138.                            and will monitor the forecast of
  2139.                            SmartBroker for
  2140.                            the life of that
  2141.                            report card (5
  2142.                            months).  During
  2143.                            the 4th month, a
  2144.                            message
  2145.                            informing you
  2146.                            that next month
  2147.                            will be the last
  2148.                            for this report
  2149.                            card cycle will
  2150.                            appear throughout the duration of
  2151.                            that month.  The purpose of this
  2152.                            message is to provide you the
  2153.                            opportunity to view/print the report
  2154.                            card before the fifth month occurs,
  2155.                            during which time the last five
  2156.                            months of data is erased and a new
  2157.                            report card is initiated.

  2159.                            The report card lists :

  2164.                            % forecasted trend (either Up or
  2165.                               Down),
  2166.                            % price when the stock was

  2175.                            The REPORT CARD is a useful tool
  2176.                            that enables you to watch the
  2177.                            accuracy grow as time passes before
  2178.                            actually putting your money on the
  2179.                            line. After watching SmartBroker
  2180.                            Forecast Accuracy reach 75-80%
  2181.                            several times, you'll build
  2182.                            confidence in SmartBrokers' ability
  2183.                            to accurately forecast stock prices.

  2185.                            Recommendation Report Card II - 
  2186.                            The Recommendation Report Card II is
  2187.                            similar to the Forecast Report Card

  2299.                            grants you a limited, non-exclusive
  2300.                            license to use "SmartBroker"
  2301.                            software program (hereafter the
  2302.                            "Software"), as well as the
  2303.                            diskette ("Diskette") and the
  2304.                            printed documentation
  2305.                            ("Documentation") contained in the
  2306.                            accompanying binder, in the manner
  2307.                            described in this Agreement.  The
  2308.                            Software and Documentation are
  2309.                            copyrighted and all rights are
  2310.                            reserved to "Developer" or the
  2311.                            parties under whose license
  2312.                            "Developer" provides the Software
  2313.                            (the "Software Originators").
  2314.                            
  2315.                            You may use the Software only on a
  2316.                            single machine with one input
  2317.                            terminal. All copying of the
  2318.                            Software and the Diskette is
  2319.                            strictly prohibited except for
  2320.                            loading the Software from the
  2321.                            Diskette into the computer memory
  2322.                            for the purpose of executing the
  2323.                            program and, where the accompanying
  2324.                            Documentation expressly permits it,
  2325.                            for back-up purposes in support of
  2326.                            your use of the Software on a
  2327.                            single machine.  
  2328.                            
  2329.                            You are granted no other rights to
  2330.                            copy, duplicate, modify, adapt or
  2331.                            lend, sell, or otherwise transfer
  2332.                            the Software, Diskette or
  2333.                            Documentation. Further, the license
  2334.                            of the Software is personal to you
  2335.                            and may not be sublicensed or
  2336.                            otherwise transferred to any third
  2337.                            party. You are granted no right to
  2338.                            use the source code of the Software
  2339.                            in any manner.
  2340.                            
  2341.                            Database Information
  2342.                            
  2343.                            The Software enables you to access
  2344.                            information from various databases
  2345.                            ("Database Information").  The
  2346.                            Database Information is owned by
  2347.                            certain other companies and
  2348.                            entities, including but not limited
  2349.                            to various securities markets, such
  2350.                            as stock exchanges, and their
  2351.                            affiliate (collectively,
  2352.                            "Information Suppliers"), and is
  2353.                            protected by copyright. The
  2354.                            Database Information is provided
  2355.                            solely for your personal use, and
  2356.                            may not be copied (except in
  2357.                            connection with your personal,
  2358.                            non-commercial use of the
  2359.                            Software), retransmitted, sold or
  2360.                            distributed in any way by you. The
  2361.                            Database Information is transmitted
  2362.                            to you by certain entities
  2363.                            hereafter referred to as the
  2364.                            "Information Transmitters."

  2367.                            Limited Warranty, Limitation of
  2368.                            Liability

  2370.                            "Developer" warrants to you that
  2371.                            the Diskette (i.e., the magnetic
  2372.                            media on which the Software is
  2373.                            recorded) and the Documentation
  2374.                            will be free from defects in
  2375.                            materials and workmanship for a
  2376.                            period of ninety (90) days from the
  2377.                            date of invoice to you. 
  2378.                            "Developer" also warrants to you
  2379.                            that the Software will perform
  2380.                            substantially in accordance with
  2381.                            the Documentation for a period of
  2382.                            two (2) years from the Invoice
  2383.                            Date, when used as directed.
  2384.                            
  2385.                            THERE ARE NO OTHER EXPRESS OR
  2386.                            IMPLIED WARRANTIES (INCLUDING
  2387.                            IMPLIED WARRANTIES OF
  2388.                            MERCHANTABILITY AND FITNESS FOR A
  2389.                            PARTICULAR USE) REGARDING THE
  2390.                            SOFTWARE.  DISKETTE OR
  2391.                            DOCUMENTATION, EXCEPT ANY IMPLIED
  2392.                            WARRANTIES WHICH CANNOT BE
  2393.                            DISCLAIMED UNDER APPLICABLE LAW ANY
  2394.                            SUCH IMPLIED WARRANTIES COVERING
  2395.                            THE DISKETTE ARE LIMITED IN

  2397.                            THE DELIVERY DATE.  ANY SUCH
  2398.                            IMPLIED WARRANTIES COVERING THE
  2399.                            SOFTWARE OR DOCUMENTATION ARE

  2401.                            YEARS FROM THE DELIVERY DATE.

  2403.                            "Developer" does not warrant that
  2404.                            the Software will meet your
  2405.                            requirements or that the operation
  2406.                            of the Software will be
  2407.                            uninterrupted or error free. The
  2408.                            foregoing warranties do not apply
  2409.                            if you mishandle, alter or
  2410.                            improperly use or store the
  2411.                            Software, Diskette, and/or
  2412.                            Documentation. Although changes or
  2413.                            improvements to the Software,
  2414.                            Diskette, and/or Documentation may
  2415.                            be made, "Developer" will be under
  2416.                            no obligation to provide the to
  2417.                            you.  "Developer" is not
  2418.                            responsible for problems caused by
  2419.                            change in the operating
  2420.                            characteristics of computer
  2421.                            hardware or computer operating
  2422.                            systems which are made after the
  2423.                            release of the Software.  No action
  2424.                            for any breach of the above
  2425.                            warranties may be commenced more
  2426.                            than one (1) year following the
  2427.                            expiration date of the applicable
  2428.                            warranty.

  2430.                            YOUR SOLE AND EXCLUSIVE REMEDY FOR
  2431.                            ANY BREACH OF WARRANTY IS THAT
  2432.                            "Developer", AT ITS OPTION, EITHER
  2433.                            WILL REFUND YOUR REPAYMENT FOR THE
  2434.                            SOFTWARE UPON YOUR RETURN OF THE
  2435.                            DOCUMENTATION DISKETTE, AND COPIES
  2436.                            (IF ANY), OR WILL TAKE ONE OF THE
  2437.                            FOLLOWING ACTIONS:

  2439.                            If the Diskette is not as
  2440.                            warranted, "Developer" will replace
  2441.                            it on an exchange basis without
  2442.                            charge.
  2443.                             
  2444.                            If the Documentation is not as
  2445.                            warranted, "Developer" will replace
  2446.                            any defective pages or supply
  2447.                            addenda on an exchange basis
  2448.                            without charge.
  2449.                            
  2450.                            If the Software does not perform as
  2451.                            warranted, "Developer" will replace
  2452.                            it with a new copy of the Software
  2453.                            on an exchange basis without
  2454.                            charge.

  2457.                            THE DATABASE INFORMATION ACCESSIBLE
  2458.                            WITH THE SOFTWARE IS PROVIDED "AS
  2459.                            IS." THERE MAY BE DELAYS, OMISSIONS
  2460.                            OR INACCURACIES IN THE DATABASE
  2461.                            INFORMATION. THERE IS NO WARRANTY
  2462.                            OR MECHANTABILITY, NO WARRANTY OF
  2463.                            FITNESS FOR A PARTICULAR USE, AND
  2464.                            NO OTHER WARRANTY OF ANY KIND,
  2465.                            EITHER EXPRESS OR IMPLIED,
  2466.                            REGARDING THE DATABASE INFORMATION.

  2471.                            ASSUMED BY YOU.  SHOULD ANY SUCH
  2472.                            INFORMATION PROVE DEFECTIVE, YOU
  2473.                            (AND NOT "Developer", THE
  2474.                            INFORMATION SUPPLIERS, THE
  2475.                            INFORMATION TRANSMITTERS OR ANY
  2476.                            OTHER THIRD PARTY) ASSUME THE
  2477.                            ENTIRE RESPONSIBILITY FOR ITS USE
  2478.                            AND ITS CORRECTION.

  2480.                            IN NO EVENT WILL "Developer", THE
  2481.                            SOFTWARE ORIGINATORS, THE
  2482.                            INFORMATION SUPPLIERS, OR THE
  2483.                            INFORMATION TRANSMITTERS BE LIABLE
  2484.                            TO YOU OR ANYONE ELSE FOR ANY
  2485.                            TRADING LOSSES, LOST PROFITS, LOST
  2486.                            DATA, OR OTHER CONSEQUENTIAL,
  2487.                            INCIDENTAL, SPECIAL OR INDIRECT
  2488.                            DAMAGES, EVEN IF SUCH DAMAGES OR
  2489.                            LOSSES RESULT FROM A BREACH OF ANY
  2490.                            WARRANTY OR IF "Developer" HAS BEEN
  2491.                            ADVISED OF THE POSSIBILITY OF SUCH

  2504.                            OUT OF ANY KIND OF LEGAL CLAIM
  2505.                            (WHETHER IN CONTRACT, TORT OR
  2506.                            OTHERWISE) IN ANY WAY CONNECTED
  2507.                            WITH SMARTBROKER, WILL NOT EXCEED
  2508.                            THE AMOUNT YOU ORIGINALLY PAID FOR
  2509.                            THE SOFTWARE.

  2511.                            Some states do not allow
  2512.                            limitations on how long an implied
  2513.                            warranty lasts, or the exclusion or
  2514.                            limitation of incidental or
  2515.                            consequential damages, so the above
  2516.                            limitations or exclusions may not
  2517.                            apply to you. This warranty gives
  2518.                            you specific legal rights, and you
  2519.                            may also have other rights which
  2520.                            vary from state to state.

  2522.                            No Advice
  2523.                            
  2524.                            By accepting this Agreement you
  2525.                            acknowledge that the Software is
  2526.                            intended only to be a computation
  2527.                            aid and that neither it nor the
  2528.                            Database Information accessible
  2529.                            through its use is intended to
  2530.                            supply investment, tax or legal
  2531.                            advice.  You acknowledge and agree
  2532.                            that if you need such advice you
  2533.                            should consult with professional
  2534.                            advisors, and that you will not use
  2535.                            or rely on the Software or Database
  2536.                            Information to supply or substitute
  2537.                            for such advice.  You acknowledge
  2538.                            that changes in the tax laws or
  2539.                            other laws may render the Software
  2540.                            obsolete as a computational aid.
  2541.                            
  2542.                            Trade Secrets
  2543.                            
  2544.                            You acknowledge that the Software
  2545.                            contains trade secrets of
  2546.                            "Developer" and/or the Software
  2547.                            Originators.  You agree to take all
  2548.                            steps necessary to protect the
  2549.                            Software.  Documentation and
  2550.                            Diskette, as well as any copies
  2551.                            thereof, from disclosure, and
  2552.                            specifically agree not to
  2553.                            decompile, disassemble or reverse
  2554.                            engineer all or any part of the
  2555.                            source code of the Software from
  2556.                            the object code or other
  2557.                            information provided to you under
  2558.                            this Agreement.
  2559.                            
  2560.                            Termination
  2561.                            
  2562.                            If you violate any item of use set
  2563.                            forth above, this Agreement and the
  2564.                            license provided hereunder will be
  2565.                            terminated, and you agree to return
  2566.                            the Documentation, Diskette and all
  2567.                            copies (if any) made therefrom to
  2568.                            "Developer" at the address below. 
  2569.                            Your obligations under the
  2570.                            Agreement will remain in effect
  2571.                            until you have returned all those
  2572.                            materials. You may voluntarily
  2573.                            terminate the license by similarly
  2574.                            returning the documentation,
  2575.                            Diskette and all copies to
  2576.                            "Developer".  If the license is
  2577.                            terminated automatically, or
  2578.                            voluntarily more than thirty (30)
  2579.                            days after the Delivery Date, you
  2580.                            will not be entitled to any refund
  2581.                            or return of sent materials from
  2582.                            "Developer".
  2583.                            
  2584.                            
  2585.                            General
  2586.                            
  2587.                            You acknowledge that you have read
  2588.                            this Agreement, understand it, and
  2589.                            agree to be bound by its terms. 
  2590.                            The agreement between you and
  2591.                            "Developer" regarding the Software,
  2592.                            Diskette and Documentation consists
  2593.                            solely of
  2594.                            this User License Agreement.  The
  2595.                            agreement does not include any
  2596.                            other prior or contemporaneous
  2597.                            promises, representations or
  2598.                            descriptions regarding the
  2599.                            Software, Diskette, Documentation,
  2600.                            and/or Database Information, even
  2601.                            if they are contained in materials
  2602.                            provided by "Developer". 
  2603.

  2605.                            ON-LINE SERVICES AGREEMENT
  2606.                            
  2607.                            IMPORTANT:  READ THIS AGREEMENT
  2608.                            BEFORE USING ANY OF THE ON-LINE
  2609.                            SERVICES, WHICH INCLUDE INFORMATION
  2610.                            ACCESS (hereafter referred
  2611.                            to collectively as the "Service"). 
  2612.                            YOUR USE OF THE SERVICE, OR SIGNED
  2613.                            ACKNOWLEDGEMENT, WILL INDICATE YOUR
  2614.                            ACCEPTANCE OF ALL OF THE FOLLOWING

  2616.                            If this Agreement is unacceptable
  2617.                            to you, do not use the Service.

  2619.                            1.  Information provided through
  2620.                            the Service via SmartBroker
  2621.                            software
  2622.                            (the "Information") is
  2623.                            independently obtained by Dow Jones
  2624.                            & Co., Inc., various securities
  2625.                            markets, such as stock exchanges,
  2626.                            and their affiliates, and others
  2627.                            (collectively, "Information
  2628.                            Providers") through sources
  2629.                            believed to be reliable.  But the
  2630.                            accuracy completeness, timeliness
  2631.                            or correct sequencing of the
  2632.                            Information is not guaranteed by
  2633.                            "Developer" the
  2634.                            Information Providers or any
  2635.                            parties transmitting the
  2636.                            Information ("Information
  2637.                            Transmitters").  There may be
  2638.                            delays, omissions or inaccuracies
  2639.                            in the Information.  You agree that
  2640.                            neither "Developer", the
  2641.                            Information Providers nor the
  2642.                            Information Transmitters shall have
  2643.                            any liability, contingent or
  2644.                            otherwise, for the accuracy,
  2645.                            completeness, timeliness or correct
  2646.                            sequencing of the Information, or
  2647.                            for any decision made or action
  2648.                            taken by you in reliance upon the
  2649.                            Information or the Service.
  2650.                            THERE IS NO WARRANTY OR
  2651.                            MERCHANTABILITY, NO WARRANTY OF
  2652.                            FITNESS FOR A PARTICULAR USE, AND

  2661.                            INFORMATION TRANSMITTERS BE LIABLE
  2662.                            TO YOU OR ANYONE ELSE FOR ANY
  2663.                            CONSEQUENTIAL, INCIDENTAL, SPECIAL
  2664.                            OR INDIRECT DAMAGES (INCLUDING BUT
  2665.                            NOT LIMITED TO LOST PROFITS,
  2666.                            TRADING LOSSES, AND DAMAGES THAT
  2667.                            RESULT FROM LOSS OF THE USE OF THE
  2668.                            SERVICE, INCONVENIENCE OR DELAY),
  2669.                            EVEN IF "Developer", THE
  2670.                            INFORMATION PROVIDERS OR THE
  2671.                            INFORMATION TRANSMITTERS HAVE BEEN
  2672.                            ADVISED OF THE POSSIBILITY OF SUCH
  2673.                            DAMAGES OR LOSSES.  YOU AGREE THAT
  2674.                            THE LIABILITY OF "Developer", THE
  2675.                            INFORMATION PROVIDERS AND THE
  2676.                            INFORMATION TRANSMITTERS, ARISING
  2677.                            OUT OF ANY KIND OF LEGAL CLAIM
  2678.                            (WHETHER IN CONTRACT, TORT OR
  2679.                            OTHERWISE) IN ANY WAY CONNECTED
  2680.                            WITH THE SERVICE OR THE
  2681.                            INFORMATION, WILL NOT EXCEED THE
  2682.                            AMOUNT YOU ORIGINALLY PAID FOR THE
  2683.                            SmartBroker SOFTWARE. Neither
  2684.                            "Developer", the Information
  2685.                            Providers nor the Information
  2686.                            Transmitters shall be liable for
  2687.                            any loss resulting from a  cause
  2688.                            over which such entity does not
  2689.                            have direct control, including but
  2690.                            not limited to failure of
  2691.                            electronic or mechanical equipment
  2692.                            or communication lines, telephone
  2693.                            or other interconnect problems,
  2694.                            unauthorized access, theft,
  2695.                            operated errors, severe weather,
  2696.                            earthquakes, and strikes or other
  2697.                            labor problems.
  2698.                            
  2699.                            3. The Information is the
  2700.                            property of the Information
  2701.                            Providers or others and is
  2702.                            protected by copyright.  It is for
  2703.                            your personal, non-commercial use
  2704.                            only.  You agree not to reproduce,
  2705.                            retransmit, disseminate, sell,
  2706.                            distribute, publish, broadcast,
  2707.                            circulate or commercially exploit
  2708.                            the Information in any manner
  2709.                            without the express written consent
  2710.                            of "Developer" and the relevant
  2711.                            Information Provider(s); nor to use
  2712.                            the Information for any unlawful
  2713.                            purpose.  You agree to comply with
  2714.                            reasonable written requests by
  2715.                            "Developer" to protect the
  2716.                            Information Providers' and
  2717.                            "Developer"'s respective
  2718.                            contractual, statutory and common
  2719.                            law rights in the Information and
  2720.                            the Service.
  2721.                            
  2722.                            4. You acknowledge that neither
  2723.                            the Service nor any of the
  2724.                            Information is intended to supply
  2725.                            investment, tax, or legal advice. 
  2726.                            You acknowledge that if you need
  2727.                            such advice you should consult with
  2728.                            professional advisors, and that you
  2729.                            will not use or rely on the Service
  2730.                            or Information to supply or
  2731.                            substitute for any advice.  You
  2732.                            acknowledge that all orders are at
  2733.                            your sole risk, and that securities
  2734.                            quotations provided through the
  2735.                            Service may be subject to time
  2736.                            delay.
  2737.                            
  2738.                            5. You agree immediately to
  2739.                            notify "Developer" if you become
  2740.                            aware of any of the following:
  2741.                            
  2742.                            A. Any loss or theft of your
  2743.                            access number(s), and/or
  2744.                            password(s), or
  2745.                            
  2746.                            B. Any unauthorized use of any of
  2747.                            your access number(s), password(s),
  2748.                            or of the Service of any
  2749.                            Information; or
  2750.                            
  2751.                            C. Any failure by you to receive
  2752.                            a message that an order initiated
  2753.                            by you through the Service has been
  2754.                            received and/or executed through
  2755.                            the Service.
  2756.                            
  2757.                            6. You will be responsible for
  2758.                            the confidentiality and use of your
  2759.                            access number(s), password(s).
  2760.                            
  2761.                            7. You agree to pay all costs
  2762.                            (including attorneys' fees), if
  2763.                            any, incurred by "Developer" in
  2764.                            collecting overdue fees from you. 
  2765.                            You also agree to pay all federal,
  2766.                            state and local taxes applicable to
  2767.                            your use or receipt of the Service.
  2768.                            
  2769.                            8. "Developer" will not be
  2770.                            responsible for any delay or
  2771.                            failure to provide the Service.
  2772.                            
  2773.                            9. You agree to indemnity and
  2774.                            hold "Developer" harmless from and
  2775.                            against any and all claims, losses,
  2776.                            liability, costs and expenses
  2777.                            (including but not limited to
  2778.                            attorneys' fees) arising form you
  2779.                            violation of this Agreement or any
  2780.                            third party's rights, including but
  2781.                            not limited to copyright,
  2782.                            proprietary and privacy rights.
  2783.                            This indemnification and hold
  2784.                            harmless obligation will survive
  2785.                            the termination of this Agreement.
  2786.                            
  2787.                            10.     You acknowledge that, in
  2788.                            providing you with the Service,
  2789.                            "Developer" has relied upon your
  2790.                            agreement to be bound by the terms
  2791.                            of this Agreement and the User
  2792.                            License Agreement accompanying the
  2793.                            SmartBroker software binder.  You
  2794.                            acknowledge that you have read,
  2795.                            understood and agreed to be bound
  2796.                            by the terms of the User License
  2797.                            Agreement, and hereby reaffirm your
  2798.                            acceptance of those terms.  You
  2799.                            further acknowledge that this
  2800.                            Agreement and the User License
  2801.                            Agreement and all other present or
  2802.                            future written agreements between
  2803.                            you and "Developer" constitute the
  2804.                            complete statement of the agreement
  2805.                            between you and "Developer" and
  2806.                            that the agreement does not include
  2807.                            any other prior or contemporaneous
  2808.                            promises, representations or
  2809.                            descriptions regarding service, the
  2810.                            Information, or the SmartBroker
  2811.                            software, even if they are
  2812.                            contained in materials provided by
  2813.                            "Developer".  This Agreement may be
  2814.                            modified only in writing; if
  2815.                            "Developer" sends you written
  2816.                            notice of a modification, your use
  2817.                            of the Service after receiving such
  2818.                            notice will indicate your
  2819.                            acceptance of the modification  If
  2820.                            any provision of this Agreement is
  2821.                            invalid or unenforceable under
  2822.                            applicable law, it is, to that
  2823.                            extent, deemed omitted and the
  2824.                            remaining provisions will continue
  2825.                            in full force and effect. This
  2826.                            Agreement and performance hereunder
  2827.                            will be governed by and construed
  2828.                            in accordance with the laws of the
  2829.                            State of Michigan, as applied to
  2830.                            agreements entered into and
  2831.                            completely performed in Michigan.
